Assistant Company Secretary (Legal Assistant / Minute Taking) – Mbabane Swaziland

The client is an established investment bank focusing on doing business on the African continent.
  • Timely filing of all statutory returns and forms, such as annual returns; forms for director & officers’ appointments and resignations; share transfers; etc.
  • Minute-taking and drafting of resolutions.
  • Convening meetings in compliance with regulatory requirements, including preparing meeting packs, coordinating attendance at meetings, etc.
  • Administrative work such as filing, updating records, etc.
  • Dealing with correspondence, collating information, writing reports and ensuring decisions made are communicated to the relevant company stakeholders.
  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
  • Liaising with external regulators and advisers, such as lawyers and auditors.
  • Maintaining strict confidentiality of all tasks executed.
Requirements: Qualification and Skill
  • A graduate member of Chartered Secretaries Southern Africa (CIS) or similar legal qualification.
  • Three to four years’ experience within a Company Secretarial environment.
  • Experience gained and exposure to the Company Secretarial work should have been hands on.
  • Extensive experience in minute taking is essential.
  • A good understanding of Company Law and the ability to interpret written laws.
  • A good understanding of the statutory requirements relating to company formations, special resolutions, board resolutions, minutes and notice of meetings will be advantageous.
  • An excellent command of English, both written and verbal is a requirement of the role.
  • Must be proficient in the use of MS Word and Excel.

  • Must be willing to travel and work overtime if required.
