General Counsel (Kenyan Legislations / Commercial Litigation / Corporate Governance) - Kenya

Our client is seeking a General Counsel who will be responsible for all legal issues involving the company and coordinating the day-to-day law-related activities to help support the General Manager along with all departments.
 

Responsibilities:
  • Provide expert legal advice to the Company’s management on all areas of the Company's business;
  • Give accurate and timely counsel to the Company in a variety of legal topics (trade, labor, corporation, tax etc.);
  • Identify proactive solutions that will eliminate or mitigate legal risks;
  • Draft, review, negotiate and manage a wide range of commercial agreements, including but not limited to commercial agreements (retail, distribution, supply, aviation and industry sales, procurement services, etc.…) lands acquisition and lease contracts, trade guarantees, receivables and securities amicable protocols, various partnership agreements and innominate contracts;
  • Ensure that all contracts: reflect management's intent; contain adequate protection of the Company's interests as identified by law and approved by management; and comply with all applicable laws and regulations.
  • Company Secretarial, risk and corporate governance advisory services to the Company and subsidiaries’ Board of Directors
  • Develop, draft and/or review internal policies and other legal documents to ensure the Company’s full legal rights and they are in compliance with all statutory or legal requirements, at Company or Group’s levels;
  • Communicate in a timely manner with the Group Legal Coordinators on matters coming to shareholder management for review and endorsement;
 
Requirements:
  • Qualification: university law master or post-graduate degree, with further qualification through training period or bar exam for example.
  • Very good knowledge of the Kenyan legislative environment. In addition, familiarity with the laws of England will be a plus.
  • At least 8 years’ work experience, including 4 years’ work experience in a reputable law firm serving international corporate clients, or in a multinational company
  • An understanding of the commercial, Company Secretarial, labor and competition laws and regulations
  • Knowledge of commercial litigation and other dispute resolution matters
